By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Services under applicable laws
• Provide accurate and complete registration information

If you are using the Services on behalf of a business or organization, you represent and warrant that you have the authority to bind that entity to these Terms.

To access certain features of our Services, you must create an account. When creating an account, you agree to:

• Accept responsibility for all activities under your account

4. Services Description

Boopilot provides a social media management platform that enables users to:

• Create, schedule, and publish content across multiple social media platforms
• Generate AI-powered content suggestions and captions
• Manage multiple brands and workspaces
• Automate social media posting workflows
• Manage Meta advertising campaigns
• Track and manage leads from advertising campaigns
• Manage Google My Business listings
• Access analytics and performance insights

5. Subscription Plans and Payments

5.1 Subscription Plans

We offer various subscription plans with different features and pricing. Current plans include Starter (₹4,999/month), Professional (₹12,999/month), and Enterprise (custom pricing). Plan details and pricing are available on our website and may be updated from time to time.

5.2 Free Trial

We offer a 3-day free trial for new users. During the trial period, you will have access to the features of your selected plan. At the end of the trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

5.3 Payment Terms

By subscribing to a paid plan, you agree to pay all applicable fees. Payments are processed through our third-party payment processors. You authorize us to charge your payment method on a recurring basis according to your subscription plan (monthly or annually).

5.4 Refund Policy

Subscription fees are non-refundable except as required by law. If you cancel your subscription, you will continue to have access to the Services until the end of your current billing period. No refunds or credits will be provided for partial months or unused features.

6. Acceptable Use Policy

You agree not to use our Services to:

• Violate any applicable laws, regulations, or third-party rights
• Post or distribute illegal, harmful, threatening, abusive, defamatory, or obscene content
• Engage in spam, phishing, or fraudulent activities
• Distribute malware, viruses, or other harmful code
• Interfere with or disrupt the Services or servers
• Attempt to gain unauthorized access to any part of the Services
• Scrape, data mine, or use automated means to access the Services without permission

7. User Content

7.1 Ownership

You retain ownership of all content you create, upload, or post through our Services ("User Content"). By using our Services, you grant us a non-exclusive, worldwide, royalty-free license to use, store, display, and distribute your User Content solely for the purpose of providing the Services.

7.2 Responsibility

You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights to use and authorize us to use your User Content.

7.3 AI-Generated Content

Our Services include AI-powered content generation features. You acknowledge that AI-generated content is provided as suggestions only, and you are responsible for reviewing, editing, and approving all content before publishing. We do not guarantee the accuracy, appropriateness, or effectiveness of AI-generated content.

8. Third-Party Services

Our Services integrate with third-party platforms including Instagram, Facebook, LinkedIn, X (Twitter), YouTube, and Google My Business. Your use of these integrations is subject to the respective terms of service and privacy policies of those platforms.

We are not responsible for the availability, accuracy, or content of third-party services. Changes to third-party APIs or terms may affect the functionality of our Services.

9. Intellectual Property

The Services, including all content, features, and functionality (excluding User Content), are owned by Boopilot and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

"Boopilot" and our logo are trademarks of Boopilot. You may not use our trademarks without our prior written permission.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee any specific results from the use of our Services.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOPILOT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Boopilot and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your User Content, your violation of these Terms, or your violation of any rights of another party.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination:

• Your right to use the Services will immediately cease
• You must stop using the Services and delete any downloaded materials
• We may delete your account and User Content
• Provisions that by their nature should survive termination will survive

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted in English and held in Bangalore, India.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Boopilot regarding the Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Notices: We may provide notices to you via email, through the Services, or by posting on our website.
